Terms of Service

Note: Plexor is currently a research project at Bona Opera Studios, not a commercial entity. All features are free during the research phase.

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bona Opera Studios ("Plexor," "we," "us," or "our") governing your access to and use of the Plexor intelligent LLM routing research service, including our website, APIs, and related services (collectively, the "Service").

Important: By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

1. Description of Service

Plexor provides an intelligent LLM (Large Language Model) routing gateway that enables users to access multiple AI providers through a unified API. The Service includes:

  • API access to route requests to various LLM providers (OpenAI, Anthropic, Google, Mistral, DeepSeek, and others)
  • Intelligent routing based on cost, quality, and performance optimization
  • Usage analytics and cost tracking dashboards
  • Account management and API key generation

2. Account Registration

2.1 Eligibility

To use the Service, you must be at least 16 years of age and capable of forming a binding contract. By using the Service, you represent and warrant that you meet these requirements.

2.2 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

2.3 API Keys

You are responsible for maintaining the security and confidentiality of your API keys. You agree to notify us immediately of any unauthorized use of your API keys or account. We are not liable for any loss or damage arising from your failure to protect your credentials.

3. Acceptable Use

3.1 Permitted Use

You may use the Service solely for lawful purposes and in accordance with these Terms. You agree to comply with all applicable laws, regulations, and third-party rights.

3.2 Prohibited Activities

You agree NOT to use the Service to:

  • Generate, distribute, or facilitate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Generate content that exploits, harms, or attempts to harm minors
  • Generate malware, phishing content, or content designed to facilitate cyberattacks
  • Impersonate any person or entity or misrepresent your affiliation
  • Violate the intellectual property rights of any third party
  • Circumvent, disable, or interfere with security features of the Service
  • Use automated means to access the Service except through our provided APIs
  • Attempt to gain unauthorized access to any systems or networks
  • Resell or redistribute access to the Service without authorization
  • Use the Service in violation of any upstream LLM provider's terms of service

3.3 Rate Limits

We may impose rate limits on API usage to ensure fair access and service stability. Exceeding rate limits may result in temporary throttling or suspension of service.

4. Fees and Payment

4.1 Pricing

Current pricing is available on our website. We reserve the right to modify pricing with 30 days' advance notice. Usage-based fees are calculated based on API requests and the underlying provider costs.

4.2 Billing

You agree to pay all fees associated with your use of the Service. Subscription fees are billed in advance on a monthly basis. Usage-based fees are billed monthly in arrears.

4.3 Payment Terms

Payment is due upon receipt of invoice. We accept payment via credit card through our payment processor (Stripe). Late payments may result in suspension of service and may accrue interest at the rate of 1.5% per month or the maximum rate permitted by law.

4.4 Taxes

All fees are exclusive of taxes. You are responsible for paying all applicable taxes, except for taxes based on our net income.

5. Intellectual Property

5.1 Our Intellectual Property

The Service, including its design, features, and content, is owned by Plexor and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

5.2 Your Content

You retain all rights to the content you submit through the Service (prompts and generated responses). By using the Service, you grant us a limited license to process your content solely for the purpose of providing the Service. We do not claim ownership of your content and do not use it to train AI models.

5.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, royalty-free license to use, modify, and incorporate such feedback into the Service.

6. Third-Party Services

The Service routes requests to third-party LLM providers. Your use of the Service is also subject to the terms and policies of these providers:

  • OpenAI: Terms of Use
  • Anthropic: Acceptable Use Policy
  • Google: Terms of Service
  • Mistral: Terms of Service

We are not responsible for the availability, accuracy, or content of responses from third-party providers.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not warrant the accuracy, completeness, or usefulness of any content generated by LLM providers through the Service.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PLEXOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, including loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service, even if we have been advised of the possibility of such damages.

OUR TOTAL LIABILITY for all claims arising from or related to these Terms or the Service shall not exceed the greater of (a) the amount you paid us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Plexor and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any content you submit through the Service

10. Termination

10.1 By You

You may terminate your account at any time through your account settings or by contacting us. Upon termination, your right to use the Service will cease immediately.

10.2 By Us

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. We may terminate for cause immediately upon notice if you breach these Terms.

10.3 Effect of Termination

Upon termination, you remain liable for any unpaid fees. Sections that by their nature should survive termination shall survive, including intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Washington, United States, without regard to its conflict of law provisions.

12.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in Seattle, Washington, in accordance with the rules of the American Arbitration Association.

12.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Plexor regarding the Service.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign these Terms without our prior written consent. We may assign these Terms without restriction.
